Terms of Service
These Terms of Service (“Terms”) are an agreement between Nerivo by Digital Permit Book LLC, an Illinois limited liability company (“Nerivo”, “we”, “us”), and the company or person using nerivo.io, app.nerivo.io and the related services (the “Service”). By using the Service, requesting a fleet check, or accepting an invitation to a company account, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you confirm you have authority to bind it, and “you” means that company.
1. Who may use the Service
The Service is for businesses. You must be at least 18 and use the Service for your company’s operations in the United States. Accounts are created by invitation; there is no public sign-up.
2. What the Service does
Nerivo reads data from the systems you connect and the files you upload, matches records to vehicles, drivers and loads, runs checks, and reports what it finds, in dollars, with the records behind each figure. It is an analysis tool. It does not change data in your systems, bill your customers, pay your drivers, or make decisions for you. Figures depend on the completeness and accuracy of the data your systems provide; where data is missing or inconsistent, the Service says so where it can, but you are responsible for checking a finding before acting on it.
3. Your account and your team
- Keep your login confidential. You are responsible for everything done under it. Tell us at once if you suspect unauthorized use.
- An owner or admin of your company account may invite teammates and set their roles. You are responsible for who you invite and for removing people who leave.
- Keep your account information accurate.
4. Connected systems and your data
- You decide which systems to connect and which files to upload. You confirm you have the right to give us that access and data, including any permission needed from your providers and any notice or consent owed to your drivers and employees.
- We use read-only access wherever the provider offers it, and we do not write to your systems. Credentials you give us are stored encrypted and used only to read your data.
- You keep all rights to your data. You give us a licence to store, process and display it as needed to provide the Service to you, and to produce aggregated, de-identified statistics that cannot identify you, your company or your drivers.
- You are responsible for your use of the Service complying with the laws that apply to you, including employment and privacy laws concerning your drivers.
5. Neri and AI features
Neri answers questions by reading your company’s data through a large language model. Answers can be wrong or incomplete. Every figure Neri gives links to the records it came from; check those records before you act, and do not rely on Neri for legal, tax, accounting or safety decisions.
6. Fees and the guarantee
- Fees are set out in your order or agreement with us, are billed monthly in advance unless stated otherwise, and exclude taxes.
- Find it or it’s free. If, in the first 90 days of a paid account, the total dollar amount of findings produced by the Service for your company is less than what you paid us for those 90 days, we refund those three months in full. “Findings” means the amounts shown in the Service’s findings for that period, with their supporting records, whether or not you bill or collect them. To qualify, you must connect the systems we ask for (at minimum ELD, fuel card and loads) within the first 14 days and keep them connected. One refund per company. Ask by email within 30 days after the 90-day period ends.
- The free fleet check is provided at no charge and with no obligation; the Service terms still apply to it.
7. Acceptable use
You may not: use the Service unlawfully or to harm others; share your login or give access to people outside your company; try to access another company’s data; reverse engineer, scrape or overload the Service; introduce malware; or resell the Service. We may suspend access that we reasonably believe breaks these rules, and will tell you why where we can.
8. Our property
The Service, its software, design, checks and content are owned by Nerivo and its licensors and are protected by law. Nerivo, Nerivo IQ and Neri are our marks. Apart from the limited right to use the Service under these Terms, no rights are granted. Feedback you give us may be used without obligation to you.
9. Term and ending the Service
- Monthly accounts continue until either side ends them. You may cancel at any time from your account or by email; the account stays open to the end of the paid period.
- We may suspend or end the Service for non-payment or a material breach of these Terms that is not fixed within 14 days of notice, or at once where the breach threatens the Service or others.
- When your account ends you can export your data for 30 days; after that we delete it as described in the Privacy Policy. Sections 4 (licence to de-identified data), 8, 10, 11, 12 and 13 survive.
10. Warranties and disclaimer
We will provide the Service with reasonable skill and care. Otherwise, to the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or that it will be uninterrupted, error-free or find every cost in your fleet. Findings are information, not legal, accounting, tax or safety advice.
11. Limitation of liability
To the fullest extent the law allows, Nerivo and Digital Permit Book LLC, their members, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from the Service, even if advised of the possibility. Our total liability for all claims arising from the Service in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Nerivo and Digital Permit Book LLC against third-party claims arising from your breach of these Terms, your data, or your use of the Service in violation of law, including claims by your drivers or employees about data you chose to connect.
13. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in DuPage County, Illinois, and both sides consent to their jurisdiction. Any claim must be filed within one year after it arises. Before filing, each side agrees to try to resolve the matter by discussion for 30 days.
14. General
- We may update these Terms. For material changes we will email the address on your account at least 14 days before they take effect; continued use after that date is acceptance.
- You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets.
- If a provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver.
- These Terms, the Privacy Policy and any order or agreement we sign with you are the entire agreement. If a signed agreement conflicts with these Terms, the signed agreement controls.
- By giving us contact details you agree we may email you about your account and the Service. You can opt out of marketing email at any time.
